For fun, let's assume that Panda has to hold onto all the baggage such as lawsuits, contract payouts, etc. in this scenario.
For WWE, it gets the chance to stockpile its absurd library, collecting extra footage of major stars such as Angle, Sting, RVD, Foley, Hogan, etc. for the Network, compilations releases, and video packages.
For ROH, it would be the unthinkable during each of the company's first dozen years. The true underdog federation that came so close to death, now absorbing the library of the company that should've easily surpassed them until the end of time. ROH also finds value in having additional footage available for much of its past and current backbone roster such as Joe, Styles, Aries, the Wolves, etc.

Real answer - GFW. They would probably use TNA's established history and talent to its fullest, being able to pick and choose the better moments from TNA's past to highlight to help promote their current product.
How would either ROH or the WWE benefit from buying out TNA? The only thing I can think of is the WWE getting a new tape library to use as Blu-Ray extras.

I'd say WWE because they could do a lot more with TNA's tape library. The biggest benefit ROH would get from TNA shutting down is access to TNA's talent but they don't have to buy the entire company to gain that access.

The only plus side to RoH would be the talents that would be freed up once TNA goes out of business anyway.
WWE would be similar with the added addition of maybe throwing it on the network for archival purposes.
Neither of which require the purchase of the company, it's debts, and undoubtedly some stipulation that Dixie has to do something of importance.
edit: but in some dream world where that the extra baggage sticks to Panda... WWE... I guess...

It would just be as well being flushed down the toilet but if anyone should have it, it should be WWE since they already have everything else. What would ROH get out of it? There's nothing any of their own guys have done in TNA that they hadn't done better in ROH. No sense buying an entire library just to have Joe vs. Daniels vs. AJ.

When WWE bought WCW, they specifically acquired the trademarks, tape library, and the contracts of a handful of wrestlers, not the entire company. AOL Time Warner dealt with the outstanding lawsuits and contracts. WWE could do the same thing here: buy TNA's library and trademarks instead of buying TNA Entertainment LLC. Let Panda Energy handle any lingering issues. Vince would probably do it just so he could finally claim victory over a company that uses the giant panda in its logo.

I think GFW needs to be REAL careful about avoiding the stink of TNA. They should stay as far away as possible and just be their own new thing.
