From Wikipedia...so take it for what it's worth. {Spoiler}Gregg stated in August 2011 that he had been getting himself into "fighting shape" for the film.[4] Coulson was "responsible for shepherding" the film's superheroes together.[1] Although director Joss Whedon is known for "killing off beloved characters", Gregg had previously stated that Whedon confirmed Coulson would survive the events of the film.[5] In the film, Coulson is last seen attempting to combat Loki. When Coulson threatens an illusion of Loki with a large energy weapon, the actual Loki stabs him behind, before ejecting Thor from the Helicarrier and escaping. Coulson speaks briefly with Fury and is then seen falling into a nonresponsive state as paramedics approach, his last words being to note that the heroes needed something to avenge; Fury relays over the radio that paramedics have called time of death, though they are not shown doing so onscreen. Fury later uses Coulson's apparent death as a way of igniting a pro-active spark in his disheartened team, though Fury's "push" (Coulson's bloodstained Captain America trading cards) is pointed out as a fabrication (having come from Coulson's locker rather than his jacket, as stated). Stark acknowledges his friendship with Coulson in his confrontation with Loki, calling the fallen agent by his real name for the first time: "There's one other person you pissed off. His name is Phil."
Then there's the fact he was reportedly in talks to reprise the role for Iron Man 3

In regards to Coulson. {Spoiler}He isn't dead, it was a life model decoy. Stark mentioned them to Coulson early in the film, so they exist in this universe (an LMD is a robot clone basically), he fakes his death to motivate his hero or some such. Future Villains. {Spoiler}Screw Kang, we will see Ultron, he doesn't need to invade he can take over the entire world's technology and use it against us.

They have to replace Reed Richards in the development of Ultron, because they don't have the film rights to him, regardless. So if Ant-Man is free, make it Stark, Banner, and Ant-Man, if no go on Ant-Man put Selvig in his place. I say this because in EMH, Ultron was a joint project of Richards, Stark, and Pym.
And then have the end credits stinger being the last remaining Ultron gaining self-awareness.

Feige and Edgar Wright have said the finished Ant-man script does not cross over with Avengers at all and has a completely different tone. I cannot wrap my head around how ridiculous this is. Marvel has made a name for themselves by grounding all of their characters in the same universe, and as the box office for The Avengers shows, it worked. On top of all that, Ant Man CANNOT carry a solo film. An Avengers film is the perfect place for him. Honestly, this crap with Edgar Wright is ridiculous. I don't have any idea why Marvel's letting him screw with Hank Pym as badly as Fox screwed with the Fantastic Four. They have the rights, yet are letting someone butcher it. Mind boggling to say the least.
