Normally I am annoyed by over-analysis of movies, but I am guilty of doing it myself from time to time. After a viewing of my DKR blu ray-which I had not gotten to watch all the way through till now, this one kind of struck me. In their first fight he is obviously outmatched, yet the second time they tangle Batman manages to manhandle Bane. What gave? My guess is simply storyline advancement-the good guy has to make the comeback, after all. But beyond that: in the first fight Batman was overconfident he could handle Bane and had no idea what he was up against-in the second fight he had a better idea of what he was dealing with and knew how Bane would move and react. And also, in the first fight he did not know to target the mask-but after learning the mask is used to numb pain, he knew to go for it as a weak spot. Nuff said.

The primary reason is because he aimed for the mask. Batman didn't get the upper-hand until he started going for it.
And then there's all the stuff that Bruce learned from spending time in the Pit. He fought smarter, less recklessly, and regained the drive (the "fear of death") he needed in order to effectively function as Batman again.
Compare Batman's approach to the first fight ("you fight like a younger man: admirable, but mistaken"), to how he takes on Bane in the second one.

Also, factor in the fact that Bane was obligated NOT to learn any new tricks in his rematch.
It's only fair if the hero gets the advancements while the villain remains pat in his strategy.

There's also something to be said about Bane's confidence.
In their first fight, Bane clearly has the upper hand. It takes place in a location of his choosing. He knows Batman's identity and his methods. And Batman is unprepared.
In the second fight, Bane is clearly intimidated by the fact that Batman is even there. He thought it impossible for anyone other than Talia to escape from the pit, and it shows in his demeanour. In this case, it is Bane who is unprepared and overwhelmed by Batman.

he trained with Apollo Creed and gained speed which tired him out so he could knock him out in the 3rd round

Having been a chiropractic patient for the last yr, I bought it as it was sold on screen I too have been under chiropractic care for the past year+ and I fear greatly for what ever practitioner would punch your back make an adjustment to a vertebrae. That being said - it still doesn't answer the question of how he went from getting punked by Bane in 30 seconds flat to taking him out like a chump after climbing a wall.

Didn't look like a punch to me. Anyway all I was trying to do was say that portion made it easier FOR ME to suspend disbelief. As to the rest, I know what long odds can do to motivate me. Batman as portrayed in three full length films, was shown to be quite motivated and adaptable. So him coming back after a serious confidence booster in the pit, knowing more about his opponent and being motivated by the steaks involved, I will accept the final outcome

It's almost blatantly stated in the movie.
"You fight like a younger man, with nothing held back. Admirable but mistaken." Batman also tries to use a few tricks that do little more than waste his time and further let Bane get the drop on him. This costs him the fight.
In the second fight, he is more controlled and doesn't try any tricks, outside of attacking the mask. He did not let Bane get the drop on him, he fought Bane in the daylight, in the open.
